Terms of Service

1. Agreement

PRISM is operated by Luminex Studio LLC (“PRISM,” “we,” “us,” or “our”). By creating an account, purchasing a subscription or PRISM Credits, or using PRISM, you agree to these Terms, the Privacy Policy, Acceptable Use Policy, Subscription, Cancellation & Refund Policy, Cookie & Tracking Notice, Copyright & DMCA Policy, and AI Content & Third-Party Provider Disclosure. If you do not agree, do not use PRISM.

Nothing in these Terms limits any refund, cancellation, withdrawal, privacy, or other consumer right that cannot lawfully be waived.

2. Eligibility

You must be at least 13 years old to use PRISM. If you are under the age of majority where you live, you may use PRISM only with the permission of a parent or legal guardian who reviews and agrees to these Terms on your behalf; that parent or guardian is responsible for your use and for any purchases. PRISM does not currently offer accounts to children under 13. Purchases and subscriptions must be made or authorized by an adult who is legally able to enter this agreement.

3. Accounts

Provide accurate information, protect your credentials, and promptly report suspected compromise. You are responsible for account activity except to the extent caused by a security failure within systems controlled by PRISM. You may not sell accounts, impersonate others, create fraudulent accounts, farm promotional Credits, or bypass billing, usage, referral, or security controls.

If you choose Sign in with Google, PRISM uses the basic authentication information authorized by you to create or connect your PRISM account. PRISM does not receive your Google password.

4. The Service

PRISM provides tools that route creative requests to AI systems and helps users manage prompts, media, projects, versions, and outputs. Features, models, limits, costs, and availability may change. We do not promise that every request will succeed or that every feature will always remain available.

5. AI outputs

AI outputs are probabilistic and may be inaccurate, incomplete, offensive, similar to content produced for others, or unsuitable for your purpose. Review outputs before use. Do not rely on PRISM for medical, legal, financial, safety-critical, or other professional decisions. You are responsible for determining whether an output may lawfully be used, disclosed, or commercialized.

Rights in AI-generated material vary by jurisdiction and circumstances. PRISM does not guarantee that generated content will qualify for copyright or other intellectual-property protection, or that it will be exclusive, original, patentable, trademark-clear, publicity-right-clear, non-infringing, or commercially safe.

6. Your content

You retain the rights you hold in prompts, uploads, project files, and other materials you submit. You grant PRISM a limited, worldwide, non-exclusive license to host, process, transmit, reproduce, and technically adapt that content only as reasonably necessary to provide, operate, secure, and support the Service and comply with law.

As between you and PRISM, and to the extent permitted by law, PRISM does not claim ownership of output solely because PRISM generated it. You are responsible for obtaining rights, consent, or authorization required to upload or generate another person’s face, likeness, image, voice, confidential information, copyrighted content, trademarks, or other protected material.

7. PRISM Credits

PRISM Credits are internal service-use units. They are not legal tender, cryptocurrency, securities, bank deposits, stored-value accounts, or investments and have no cash value outside PRISM. They are not transferable and cannot be redeemed for cash.

Subscription Credits are granted following successful payment, reset each successfully paid billing cycle, and do not roll over. Purchased PRISM Credits are tracked separately, remain after subscription cancellation, and do not expire while your account remains active, unless otherwise required by applicable law. Promotional, referral, welcome, or complimentary Credits may have separate eligibility, expiration, or reversal conditions.

PRISM generally spends Credits in this order: subscription Credits, then promotional or referral Credits, then purchased Credits. Estimated Credits may be held when a job starts. Final charges use the applicable server-calculated cost; unused holds are released.

8. Subscriptions

PRISM Free is free and includes no PRISM Credits; a paid plan or Credit pack is required to create. PRISM Starter costs $9 per month and includes 400 monthly PRISM Credits. PRISM Creator costs $29 per month and includes 1,500 monthly PRISM Credits. PRISM Pro costs $59 per month and includes 3,500 monthly PRISM Credits. PRISM Studio costs $99 per month and includes 7,000 monthly PRISM Credits. PRISM Agency costs $149 per month and includes 11,000 monthly PRISM Credits. Subscriptions renew automatically every month until canceled. Cancel future renewals anytime through Manage Billing.

You may cancel your subscription at any time to prevent future renewal charges. Cancellation does not create a right to a refund for a billing period that has already been charged, except where required by law. Cancellation normally allows access through the already-paid billing period, does not delete your PRISM account, and does not remove purchased PRISM Credits. Plan upgrades and downgrades currently take effect at the next subscription renewal.

9. Acceptable use

You must comply with law, these Terms, and the Acceptable Use Policy. We may investigate suspected misuse and preserve or disclose information when reasonably necessary for safety, fraud prevention, legal process, or enforcement.

10. Third parties

PRISM relies on third-party AI, infrastructure, authentication, storage, and payment services. Prompts, settings, and relevant uploaded media may be transmitted to the AI provider needed to perform your request. Provider processing and retention practices may vary according to the provider and applicable service terms. PRISM Auto may automatically route requests; where the interface allows manual model selection, PRISM respects that selection unless fallback is authorized or required to complete the requested workflow.

Supported integrations and currently available engines are not the same thing. The compatible model list presented for a request reflects current availability; providers, models, and capabilities may change or be unavailable.

11. PRISM intellectual property

PRISM, its interface, software, branding, design, and documentation are owned by Luminex Studio LLC or its licensors. These Terms grant only a limited, nonexclusive, nontransferable, revocable right to use the Service. You may not copy, reverse engineer, resell, or misuse the Service except as permitted by law.

12. Availability and termination

We may modify, suspend, restrict, or discontinue features and may suspend or terminate access for material policy violations, fraud, security risk, legal requirements, nonpayment, abusive disputes, or harm to PRISM or others. Fraudulent abuse may result in suspension or termination. You may stop using PRISM at any time. Provisions that by nature should survive will survive termination.

15. Indemnification

To the extent permitted by law, you will defend and indemnify Luminex Studio LLC from third-party claims arising from User Content, unlawful use, your infringement of another person’s rights, your violation of these Terms, or your violation of the Acceptable Use Policy.

16. Changes

We may update these Terms. Material changes will be communicated through the Service or another reasonable method and will apply prospectively from the stated effective date. Continued use after that date constitutes acceptance where permitted by law; where renewed consent is required, PRISM may require acceptance before further use of affected features.

17. Governing law

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law principles, except where mandatory consumer-protection law requires otherwise. Nothing here requires mandatory arbitration, waives any right to participate in a class action, or waives non-waivable rights under applicable law.
